i. The Client agrees to actively cooperate with the Agency and provide all necessary information, approvals, and access required for campaign execution.
ii. The Agency will not be held responsible for any delay or underperformance caused by incomplete or delayed inputs from the Client.
i Both parties agree to keep all business-related information, strategies, and data confidential.
ii Confidential information will not be disclosed to any third party without prior written consent, except where required by law.
i Either party may terminate this Agreement with prior written notice if the other party breaches a significant term of the contract.
ii Upon termination, any work completed up to that date shall be billed and must be paid by the Client.
i. The Agency’s total liability is limited to the amount paid by the Client for the specific services in question.
ii. The Agency will not be held liable for any indirect, incidental, or consequential losses arising from the use of its services.
